Stage 2 : Technology-Specific Knowledge

 Build domain-specific insight into the technologies driving enterprise transformation. This stage bridges technical architectures, delivery models, and emerging innovations with their contractual implications, helping you anticipate risks, shape stronger clauses, and partner effectively with IT, operations, and vendor management teams in complex, multi-party deals. 

Summary

Design cloud contracts that work in practice.

  • We start with service models (SaaS, PaaS, IaaS) and multi-tenant vs single-tenant implications, then get straight into what drives disputes: how to set uptime/incident targets, how measurement and evidence work, which exclusions are reasonable, and how to structure service credits with sensible caps and exclusive-remedy language. 
  • You’ll also tie in security baselines, DR/BCP, and maintenance/change notifications so operations can actually meet what the contract promises. 
  • Expect an SLA scorecard and a credit-calculation worksheet you can reuse. 


Link licence choices to pricing that won’t explode later. 

  • You’ll define scope and restrictions correctly (including OSS obligations and audit rights), then document clear metrics and counting rules in the order form so invoices don’t become arguments. 
  • We’ll compare annual commit vs usage models, overages and true-ups, and set renewal economics (uplifts or indexation) that finance can live with. You’ll leave with an order-form checklist and a licence scope matrix to speed reviews. 


Make delivery measurable and manageable. 

  • Convert business outcomes into specific deliverables and objective tests, write rejection and re-test timelines, and link acceptance to invoicing and warranty start. 
  • Then establish a disciplined change-request process that captures effort, price, and time impacts with clear approvals. 
  • We contrast waterfall and agile realities (sprints, backlog, velocity, definition of done) so scope changes are controlled rather than improvised. 


Operationalise privacy instead of just name-checking it. 

  • This module shows how the DPA, security schedule, and main agreement fit together: roles and instructions, sub-processor controls, audit/assurance, and incident-response timelines. 
  • We cover cross-border transfers (SCCs/BCRs) and government access requests, then close with a clean exit plan: data return formats, deletion certificates, transition assistance with scoped timelines and fees, and survival clauses that keep the essentials enforceable.
