Stage 1: Foundations of Technology Contracts

 Gain the core competencies to operate in high-stakes, enterprise-level technology negotiations. This stage builds fluency in the fundamentals of tech contracting, from industry terminology to the mechanics of regulated procurement cycles. Learners will leave ready to engage with cross-functional stakeholders and align contract structures with strategic business and compliance objectives. 

SUMMARY

Start with the big picture. 

  • This module explains the main deal types you’ll encounter (SaaS subscriptions, software licences, systems integration, and support/maintenance), who the parties are, and what each of them cares about. 
  • You’ll walk through the contract lifecycle step by step—from RFP and proposals to term sheets, signature, delivery, change control, and renewal/exit—and learn where each document fits (MSA, SoW, SLA, DPA, Security Schedule). 
  • We’ll also show how to keep “promises” made in sales decks and emails from getting lost: what must go into the SoW or Order Form, and why. You’ll leave with a concise lifecycle map and stakeholder matrix you can reuse on real matters. 


Here you’ll get fluent in the five core agreements and how they fit together. 

  • We cover the role of the MSA (relationship and risk architecture), the SoW/Order Form (scope, price, acceptance, and change), the SLA or support policy (availability, incident response, service credits), licensing/EULAs (scope of use, restrictions, OSS), and NDAs. 
  • Just as important, you’ll learn how to set a clean order-of-precedence so documents don’t contradict each other, and where to place terms so they’re easy to administer later. 
  • Expect practical checklists and a visual precedence ladder you can apply immediately. 


A focused refresher on how contracts form and hold up in digital contexts. 

  • We look at offer/acceptance/consideration in real workflows (emails, quotes, order forms, acceptance by performance), the difference between clickwrap and browsewrap, and how to incorporate external policies without creating enforceability problems. 
  • You’ll also cover e-sign basics—authority, audit trails, and record-keeping—and simple interpretation tools (entire agreement, precedence, ambiguity) that resolve conflicts without a fight.
  • The goal is practical: recognise when a binding contract exists, on what terms, and how to evidence it. 


Learn to read contracts quickly and accurately. 

  • We break down the architecture (definitions, main body, schedules/exhibits), explain signal words and drafting conventions (shall/may, including, efforts), and show how so-called boilerplate can drive outcomes (assignment, subcontracting, change-of-control, precedence). 
  • You’ll practise linking obligations to how they’re measured and remedied—so scope creep and missed duties don’t slip through—and checking that schedules (SLA, pricing, security) actually match the main agreement. 
  • You’ll leave with a reusable reading checklist and a signal-words crib sheet.
